Welcome to ShareTree! These Terms of Service (“Terms”) constitute a legally binding agreement between you and ShareTree Inc. (“ShareTree,” “we,” “us,” or “our”) governing your access to and use of the ShareTree platform, including our character assessment tools, AI coaching services, CharaCards trading card game, and related features (collectively, the “Services”).
By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Please read these Terms carefully. They include important information about your legal rights, including limitations of liability and dispute resolution procedures.
You must be at least 13 years old to create a ShareTree account and use our Services. If you are under 18, you represent that you have parental or guardian consent to use the Services, and that your parent or guardian has reviewed these Terms with you. Users under 13 may only use the Services with verified parental consent obtained through our designated process.

You may not use another user's account without permission. We reserve the right to terminate accounts that provide false information or impersonate others.
You are responsible for maintaining the security of your account credentials. ShareTree will not be liable for any loss or damage arising from your failure to comply with these security obligations. We support two-factor authentication and strongly encourage you to enable it for additional security.
ShareTree provides research-backed character assessments designed to help you understand your strengths across 12 character archetypes: Wisdom, Courage, Compassion, Trustworthiness, Tolerance, Self-Discipline, Mindfulness, Respect, Love, Truthfulness, Hope, and Purposefulness.

Charo is an AI-powered coaching assistant that provides guidance based on your character assessment results, career interests, and conversational context. The service uses Google Genkit and large language models to generate personalized responses.

CharaCards is a digital trading card game that gamifies character development. Players collect cards representing the 12 character archetypes across three tiers (Professional, Social, Spiritual) and engage in strategic gameplay against AI or other players.

Our 12-archetype character framework and assessment methodology are proprietary to ShareTree. While inspired by positive psychology research, our specific implementation, scoring algorithms, and AI coaching integration are trade secrets. You may not use our framework for commercial purposes without a separate licensing agreement.
You retain ownership of content you submit to the Services, including profile information, chat messages with Charo, deck names, and custom configurations. However, you grant ShareTree a worldwide, royalty-free license to use, store, reproduce, and display such content solely to operate and improve the Services.
You represent and warrant that your content:
We reserve the right to review, monitor, and remove any content that violates these Terms or our policies. While we do not pre-screen all content, we may use automated tools and human review to enforce our standards. You acknowledge that AI coaching conversations are monitored for safety, quality improvement, and policy compliance.
Certain features of the Services may require payment. You agree to:
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Refunds are provided only where required by applicable law.
If we offer free trials, you may be required to provide payment information to begin the trial. Unless you cancel before the trial ends, you will be automatically charged for the subscription. Trial eligibility is limited to one per user unless otherwise stated.
You may terminate your account at any time through your profile settings or by contacting us. Upon termination:

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Dispute Resolution) will remain in effect.

YOU ACKNOWLEDGE THAT ASSESSMENT RESULTS, AI COACHING, AND CAREER GUIDANCE ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. ALWAYS CONSULT QUALIFIED PROFESSIONALS FOR IMPORTANT DECISIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARETREE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability) even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations, so these may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless ShareTree Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

We encourage you to contact us first to try to resolve any dispute informally. You can reach us at support@sharetree.org. We will attempt to resolve disputes in good faith within 30 days of receiving your complaint.
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You agree to resolve disputes individually and waive any right to participate in class actions or class-wide arbitration.
Arbitration will be conducted in San Francisco, California, unless you request a different location within the United States. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
You or ShareTree may seek injunctive or other equitable relief in court for intellectual property or confidentiality violations. Small claims court disputes are also exempt from arbitration if they qualify.
You may opt out of the arbitration agreement within 30 days of creating your account by emailing optout@sharetree.org with your name, account email, and a clear statement of opt-out intent.
We may modify these Terms at any time to reflect changes in our Services, legal requirements, or business practices. We will:
Your continued use of the Services after changes constitutes acceptance of the updated Terms. If you do not agree to changes, you must stop using the Services and terminate your account.
These Terms and any disputes arising from them shall be governed by the laws of the State of California, USA, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ShareTree regarding the Services, superseding all prior agreements.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Waivers must be in writing and signed by an authorized representative.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and inure to the benefit of permitted successors and assigns.
We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, acts of government, terrorism, labor disputes, internet failures, or supplier failures.
By using ShareTree, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
